Terms of Service

These Terms of Service ("Terms") govern your access to and use of Pipely ("Pipely", "we", "our", or "us") and any related services, software, or applications (collectively, the "Service"). By creating an account or otherwise using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

Pipely is a pipeline-tracking application that helps individuals and teams organise job applications, sales leads, and other pipeline items. It connects to your inbox (e.g. Gmail) to surface relevant emails and lets you manage them in a structured board or list view.

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

You must be at least 16 years old to use the Service. By agreeing to these Terms you represent that you meet this requirement.

When you create an account you agree to:

• Provide accurate, current, and complete information.
• Keep your login credentials confidential and not share them with others.
• Notify us immediately at security@pipely.app of any unauthorised use of your account.
• Accept responsibility for all activity that occurs under your account.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload, transmit, or distribute any content that is unlawful, harmful, defamatory, or infringes intellectual property rights.
• Attempt to probe, scan, or test the vulnerability of our systems or networks.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated means (bots, scrapers, crawlers) to access or interact with the Service without our prior written consent.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.

We may suspend or terminate your access immediately if we determine, in our sole discretion, that you have violated these requirements.

Pipely offers an optional integration with Google services (Gmail, Google OAuth). By connecting your Google account you grant Pipely limited, revocable access to your account as described in the authorisation scopes shown at the time of connection. We only request the minimum scopes necessary to deliver the features you activate.

You can revoke access at any time via your Google Account Permissions page. Revoking access will disable inbox-syncing features but will not delete your Pipely account or data.

Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

You retain full ownership of all data, content, and information you submit to or generate within the Service ("User Content"). By using the Service you grant Pipely a limited, non-exclusive, worldwide, royalty-free licence to store, process, and display your User Content solely for the purpose of providing the Service to you.

We do not sell your User Content or use it to train machine-learning models without your explicit consent. For full details on how we handle your data, please read our Privacy Policy.

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Pipely and its licensors. Our trademarks, trade dress, logos, and service names may not be used in connection with any product or service without our prior written consent.

The Service may contain links to or integrations with third-party websites or services. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. We encourage you to read the terms and privacy policies of any third-party services you access.

Certain features of the Service may be offered under a paid subscription ("Plan"). Where applicable:

• Subscription fees are billed in advance on the billing cycle you select (monthly or annual).
• All fees are non-refundable except where required by applicable law, or where we have expressly agreed otherwise in writing.
• We may change Plan pricing with at least 30 days' notice. If you do not agree to the new pricing you may cancel before the change takes effect.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIPELY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) £100 / $100 USD.

You agree to defend, indemnify, and hold harmless Pipely and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

You may stop using the Service and delete your account at any time via the Settings page. We may terminate or suspend your access without prior notice if we reasonably believe you have violated these Terms or if required to do so by law.

Upon termination, your right to use the Service ceases immediately. We will handle your data in accordance with our Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Notwithstanding the above, we reserve the right to seek injunctive or other equitable relief in any jurisdiction to protect our intellectual property rights.

We may update these Terms from time to time. When we make material changes we will notify you by email or by placing a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
